CharityStack Terms of Service

These Terms of Service (“Terms”) govern access to and use of the CharityStack platform, products, and services (collectively, the “Services”) provided by CharityStack, Inc. (“CharityStack,” “we,” “us,” or “our”). By accessing or using the Services, you agree to be bound by these Terms. If you do not agree, do not use the Services.

1. Eligibility and Organizational Requirements

1.1 Eligible Organizations Only. The Services are offered exclusively to organizations that are:

  • Duly organized and validly existing nonprofit organizations incorporated in the United States; and

  • Recognized by the U.S. Internal Revenue Service as tax‑exempt organizations under Section 501(c)(3) of the Internal Revenue Code.

1.2 Ongoing Compliance. You represent and warrant that your organization maintains its 501(c)(3) status and U.S. incorporation at all times while using the Services. Loss, suspension, or revocation of such status constitutes a material breach of these Terms.

1.3 Verification. CharityStack may verify your eligibility at any time and may suspend or terminate access to the Services if eligibility cannot be confirmed.

2. Account Registration and Authority

2.1 Account Creation. To use the Services, you must create an account and provide accurate, complete, and current information.

2.2 Authorized Representatives. You represent that each individual accessing the Services on your behalf has authority to bind your organization.

2.3 Account Security. You are responsible for safeguarding credentials and for all activities conducted under your account.

3. Scope of Services

3.1 Platform Overview. CharityStack provides fundraising, payments, forms, donor management, analytics, and related tools designed for nonprofit organizations.

3.2 Third‑Party Services. Certain features integrate with third‑party services. Your use of those services is governed by their terms, not ours.

3.3 No Legal or Tax Advice. CharityStack does not provide legal, tax, or accounting advice. You are solely responsible for compliance with applicable laws.

4. Acceptable Use

You agree not to:

  • Use the Services for any unlawful, deceptive, or fraudulent purpose;

  • Misrepresent your organization, fundraising purpose, or use of funds;

  • Solicit or process funds on behalf of non‑eligible entities or individuals;

  • Interfere with or disrupt the integrity or performance of the Services;

  • Attempt to gain unauthorized access to systems or data.

5. Donations and Payments

5.1 Payment Processing. CharityStack facilitates payment processing through third‑party payment processors. Processing times, fees, and settlement are subject to those providers’ terms.

5.2 Donor Funds. CharityStack does not take ownership of donor funds. You are solely responsible for the lawful receipt, use, and reporting of donations.

5.3 Refunds and Disputes. You are responsible for handling donor refunds, chargebacks, and disputes, unless otherwise agreed in writing.

6. Fees

6.1 Platform Fees. CharityStack may charge fees for use of the Services as disclosed at signup or in a separate agreement.

6.2 Changes. We may modify fees with reasonable prior notice.

7. Data and Privacy

7.1 Your Data. You retain ownership of data you submit. You grant CharityStack a limited license to process such data to provide the Services.

7.2 Privacy. Our handling of personal data is governed by our Privacy Policy.

8. Intellectual Property

8.1 CharityStack IP. The Services, software, and content are owned by CharityStack and protected by intellectual property laws.

8.2 Limited License. Subject to these Terms, CharityStack grants you a limited, non‑exclusive, non‑transferable license to use the Services for your internal nonprofit operations.

9. Suspension and Termination

9.1 For Cause. CharityStack may suspend or terminate access immediately if you breach these Terms, lose 501(c)(3) status, cease U.S. incorporation, or pose legal or reputational risk.

9.2 Effect of Termination. Upon termination, your right to use the Services ceases. Certain provisions survive termination.

10. Disclaimers

THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE.” TO THE MAXIMUM EXTENT PERMITTED BY LAW, CHARITYSTACK DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED.

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, CHARITYSTACK SHALL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES. CHARITYSTACK’S TOTAL LIABILITY SHALL NOT EXCEED THE FEES PAID BY YOU TO CHARITYSTACK IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

12. Indemnification

You agree to indemnify and hold harmless CharityStack from claims arising out of your use of the Services, your fundraising activities, or violation of these Terms.

13. Governing Law and Venue
